At Home Announces Pricing of Secondary Public Offering of Common Stock

PLANO, Texas, Dec. 6, 2017 — At Home Group Inc. (NYSE: HOME) (the “Company”), the home décor superstore, announced today the pricing of an underwritten secondary public offering of 5,000,000 shares of its common stock by certain of the Company's existing stockholders, including certain affiliates of AEA Investors LP and Starr Investment Holdings, LLC (collectively, the “Selling Stockholders”), at a public offering price of $24.50 per share. Additionally, in connection with the offering, the Selling Stockholders have granted the underwriters a 30-day option to purchase up to 750,000 additional shares of the Company's common stock. The offering is expected to close on December 11, 2017, subject to the satisfaction of customary closing conditions.

The Company is not selling any shares in the offering and will not receive any proceeds from the sale of shares being sold by the Selling Stockholders in the offering.

BofA Merrill Lynch, Goldman Sachs & Co. LLC and Jefferies are acting as joint book-running managers for the offering. Barclays, Guggenheim Securities and Morgan Stanley are acting as additional joint book-running managers for the offering.
